Consulting and comprehensive preparation of amendments to the Articles of Association of a joint stock company

The Law Firm’s attorneys carried out for the Board of Directors of a company in the mining industry a procedure related to the amendment of the Articles of Association of a joint stock company.

The implementation of this project primarily involved an analysis of the original content of the Articles of Association and the preparation of proposed amendments aimed at facilitating and expediting procedures related to the transfer of shares, as well as the introduction of appropriate regulations for the payment of dividends.

Importantly, the Articles of Association have not been amended in principle since the company’s inception (i.e. for more than 20 years), except for minor changes involving the addition of the company’s object of activity, so the amendments to the Articles of Association also included the adjustment of their content to current legislation.

The Law Firm’s lawyers provided the Client with all explanations on an ongoing basis, so that the content of the Articles of Association was best suited to the Client’s needs. Moreover, the Law Firm also participated in the General Meeting of Shareholders, at which the resolution to amend the Articles of Association was adopted, providing ongoing answers to questions and doubts that arose among the shareholders regarding the amendments.

Thanks to the expertise, experience and commitment on the part of the Law Firm’s lawyers, all the proposed changes were approved by the company’s shareholders and incorporated into the Articles of Association.
