Legal support in implementing software for managing internal processes in a capital group

Experience / 30.10.2024

The Law Firm’s lawyers provided legal support to a large Client (a group of several companies forming a capital group) in a project related to the implementation of software for managing internal processes.

The software consisted of several modules covering various areas of activity, including sales, HR, accounting, design, and production. The implementation of the software was divided into multiple stages.

The Law Firm’s lawyers assisted with analysing the set of contract drafts proposed by the software provider, making necessary amendments, and participating in negotiations. This included, among others:

  • Implementation agreements
  • Licensing agreements, along with general licensing terms
  • Service agreements
  • Data processing agreements

Key aspects that required significant involvement from the Law Firm’s lawyers included:

  • Procedures for software acceptance and addressing issues
  • Terms for granting sublicenses for the software
  • Supplier liability for non-performance and improper performance of contracts
  • Software updates
  • Terms for terminating licensing agreements and withdrawing from the implementation agreement
  • Remuneration and licensing fees

The lawyers’ familiarity with the specific activities of the Client’s individual companies and the internal mechanisms of their operations allowed them to secure the Client’s interests and create contracts tailored to their personalized needs.
