Preparation of the bylaws of the limited liability company (Ltd) management board

Experience / 07.05.2025

Efficient operation of the bodies of a limited liability company (Ltd) is crucial for ensuring the proper functioning of the company.

One of the most important bodies within a company is the Management Board. Therefore, it is essential to ensure that the operations of this body remain uninterrupted. One useful tool in this regard is the implementation of internal corporate documents — especially the Management Board bylaws.

Our law firm’s lawyers prepared a Management Board bylaws for a client acting as a “parent company” in a holding structure. This document comprehensively regulated, in particular:

  • the rules and scope of activities of the Management Board, including the responsibilities of individual members;
  • the procedures for convening and conducting Management Board meetings, including remotely;
  • the procedures for adopting resolutions by the Management Board;
  • the principles of recording and maintaining minutes of Board meetings;
  • the process of handing over matters by outgoing Board members;
  • the rules for storing documentation.

Thanks to the knowledge and experience of our lawyers, the prepared regulations included provisions that are highly useful in the day-to-day functioning of the company’s governing body and help avoid many issues not directly addressed by legal provisions — particularly those of the Polish Commercial Companies Code.
