Well-prepared and negotiated contract for plant maintenance services

The law firm’s advocates and attorneys drafted a contract for the provision of technical maintenance services for a plant with its infrastructure on behalf of a Client operating in the aviation industry, and then negotiated the terms of the contract with the Client’s contractor.

As a first step, the lawyers audited the Client’s needs taking into account the business model of its operational activities.

The Client’s goal remained to entrust the administration of its plant to a specialized entity whose services would ensure the ability to conduct its business operations in an uninterrupted manner, primarily taking into account the highest technical, technological, environmental and safety parameters.

The contractor’s scope of services included, among others:

  • maintenance of plant, facilities, machinery, equipment;
  • maintenance and inspections;
  • repairs and troubleshooting;
  • facility management;
  • failure management;
  • management, maintenance and updating of documentation;
  • maintaining a warehouse of spare parts;
  • arranging mandatory inspections of facilities;
  • managing claims for defects.

In addition to drafting the contract in accordance with the Client’s expectations, the law firm’s lawyers prepared assumptions regarding the fulfillment of SLAs (quality standards for services provided) by the Client’s contractor.

At a further stage of this project, we conducted negotiations on behalf of the Client, which culminated in the conclusion of an agreement on terms satisfactory to the Client. We also ensured that the Client’s counterparty, after the conclusion of the contract, established the collateral provided for in the contract.

The effort put into this complicated project, which lasted several months, resulted in an agreement that secures the Client’s interests, as the first months of its implementation have shown.
